Terms of sale and license

1. Agreement

Prompt Plus is made and licensed by Fresh'n Up AU Pty Ltd (ABN 11 678 658 823), a company registered in Victoria, Australia, which runs the AI Huntr Consulting brand ("we", "us"). By downloading, installing, using or buying the Software, you agree to these terms. If you don't agree, don't download, install or use it. If you accept these terms for an organization, you confirm you're authorized to do so.

Nothing in these terms limits any right or remedy you have under consumer protection laws that can't be excluded by contract. Where these terms conflict with those laws, the laws win.

2. Your license

When you buy Prompt Plus, we grant you a personal, non-exclusive, non-transferable license to install and use the full version of Prompt Plus for macOS on Macs you own or control, for your own personal or internal business purposes. The license belongs to the person who bought it.

The license has no time limit. It continues unless it ends under section 13, for example after a refund.

"OWN this software" on our website means you own this license to use your copy of Prompt Plus. It doesn't mean you own the Software itself or any intellectual property in it (see section 7).

3. Free trial

The trial edition is a separate free download. We grant you a personal, non-exclusive, non-transferable license to use it for evaluation for 7 days, counted from the first time you open it. After that, model requests stop working until you install the full version. The trial includes all features, but we don't guarantee that any trial will remain available or unchanged. You may not bypass or interfere with the trial period.

3A. Founder pre-order

Before the full release of Prompt Plus for macOS, we may offer a founder pre-order. While it's offered:

The founder price is US$4.95, paid once, with tax included. It's not a subscription. Payment works as described in section 4, and the purchase gives you the license in section 2.
Until the full version is released, your download is the beta: a pre-release build of the full version. It hasn't been notarized by Apple, so macOS asks you to confirm before it opens the first time (see the beta install page). It may contain bugs or change before release, and it's provided "as is" under section 11.
When we release the full version of Prompt Plus for macOS, it's included in your founder purchase at no extra charge. We'll email you, and your download links and the recovery page will then give you the full version.
We don't promise a release date. If we decide not to release the full version for macOS, you can ask for a full refund of your founder purchase, even after the 14-day period in section 6.
The founder price ends when the full version is released, or earlier if we stop offering it. That doesn't affect founder purchases already made.
The 14-day refund policy in section 6 applies. A refund ends your license, including the full version.

4. Price and payment

The price is US$9.95, paid once, with tax included (or the founder price in section 3A while it's offered). It's not a subscription and there are no recurring charges. Checkout may offer to charge you in your local currency instead; Stripe's converted price includes a currency-conversion fee (currently 2–4%, set by Stripe). To pay exactly the US dollar price, choose US dollars at checkout; your bank may still apply its own exchange rate or fees.
Payments are processed by Stripe using Stripe Managed Payments. Stripe, through its Link service, acts as the merchant of record for the transaction: at checkout the purchase is shown as "Sold through Link", your receipt comes from Link, and your card statement shows a charge starting with LINK.COM*. Link's and Stripe's terms apply to the payment itself.
The purchase gives you the license in section 2. It doesn't include OpenRouter credits, AI model usage or any other third-party service (see section 9).
We may change the price for future purchases. Price changes don't affect purchases you've already made.

5. Delivery and re-downloads

After a successful payment you can download the full version from the page shown after checkout, and we email a download link to the address you used at checkout. Download links expire for security. You can request a new link on the recovery page using the email address you paid with, as long as your purchase hasn't been refunded or disputed and Stripe still holds its record (see our privacy policy).

Re-downloads give you the current macOS release of Prompt Plus. Don't share your download links: they're for your use only.

6. Refunds

You can get a full refund within 14 days of your purchase, no questions asked. Email Gerard@aihuntrconsulting.com from the address you paid with, or tell us that address in your message.
The refund goes back to your original payment method through Stripe and Link. How long it takes to appear depends on your bank or payment provider.
When a purchase is refunded, your license ends and download access is revoked. You must stop using the full version and delete it from your Macs.
If a payment is disputed or charged back, download access is suspended. If the dispute is withdrawn or resolved so that your payment stands, email Gerard@aihuntrconsulting.com and we'll send you a working download. If the payment is reversed, your license ends.
As merchant of record, Stripe's Link service may also handle payment questions and refund requests under its own policies.
This policy doesn't affect any rights you have under consumer protection laws, for example if the Software has a fault.

7. Ownership

The Software is licensed, not sold. AI Huntr Consulting and its licensors own the Software and all intellectual property rights in it, including its code, design, prompts and brand. Buying a license doesn't transfer ownership of the Software or any of these rights to you. All rights not expressly granted in these terms are reserved.

The Software includes open-source components, such as Electron, that are licensed under their own terms. Copies of those licenses ship inside the app. Those terms apply to those components, and nothing in these terms limits your rights under them.

You own the text you write and, as between you and us, the results you get from Prompt Plus, subject to the terms of OpenRouter and the model providers you use.

8. Restrictions

Except where the law allows it despite this restriction, you may not:

sell, resell, rent, lend, sublicense or otherwise transfer the Software or your license
share the Software, the full version installer or your download links with others, or make them publicly available
copy the Software except as needed to install and use it, and for backups
modify, adapt, translate, decompile, disassemble or reverse engineer the Software
bypass, disable or interfere with the trial period, download checks or other limits
remove or change any copyright, trademark or other notices
use the Software in breach of any law, or of the terms of OpenRouter or a model provider

9. OpenRouter and AI models

Prompt Plus needs your own OpenRouter account and API key. OpenRouter is an independent service. Your use of it is governed by OpenRouter's terms and privacy policy, and the terms of the model providers it connects you to.
OpenRouter usage is billed separately by OpenRouter at the prices it sets. It isn't included in the Prompt Plus price or trial. You're responsible for those charges and for keeping your API key secure.
We don't control OpenRouter or the models. We aren't responsible for their availability, prices, limits, content policies or changes, or for how they process your content.
AI output can be inaccurate, incomplete or inappropriate. Review results before you rely on or use them. You're responsible for the content you send and for how you use the results.

10. Updates and other platforms

Your purchase covers Prompt Plus for macOS. Purchasers can re-download the current macOS release from the recovery page; we don't promise future versions, features or compatibility with future versions of macOS. If we release updates, they're covered by these terms unless they come with different terms.

Windows, iPhone keyboard and Android keyboard versions are listed on our website as coming soon. Your purchase doesn't include them, and we don't promise when, whether or at what price they'll be released.

11. Disclaimer

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't warrant that the Software will be uninterrupted or error-free, will work with every app, or will meet your requirements.

Some laws give you guarantees or rights that can't be excluded. If those laws apply to you, this section limits our obligations only as far as those laws allow. Where we're allowed to limit our liability for breaching such a guarantee, our liability is limited, at our choice, to supplying the Software again or refunding what you paid for it.

12. Limitation of liability

To the maximum extent permitted by law:

we aren't liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, data, goodwill or business opportunity, arising from or related to the Software or these terms
we aren't liable for charges, outages, content or data handling by OpenRouter, model providers or other third-party services
our total liability for all claims arising from or related to the Software or these terms is limited to the amount you paid for your Prompt Plus license (US$9.95), or zero for the free trial

These limits don't apply to liability that can't be limited by law, such as liability for fraud or, where applicable, for death or personal injury caused by negligence.

13. Ending the license

You can end your license at any time by deleting the Software. Your license ends automatically if your purchase is refunded or the payment is reversed, or if you seriously breach these terms and, where the breach can be fixed, don't fix it after we ask you to. When the license ends you must stop using the Software and delete it. Sections 7, 9, 11, 12 and 14 continue to apply after the license ends.

14. Governing law

These terms are governed by the laws of Victoria, Australia. The courts of Victoria, and courts that can hear appeals from them, can decide disputes about these terms. This doesn't take away any protection you have under the Australian Consumer Law or the mandatory consumer laws of the place where you live, including your right to bring a claim in the courts where you live.

15. Changes

We may update these terms, for example when we change the Software or the law changes. We'll show the date of the latest version at the top of this page. The terms in effect when you bought Prompt Plus continue to apply to that purchase unless you agree to a newer version or the law requires otherwise.
